Business Listing Agreement

Welcome to Painted Circle!

We are excited to have you list your business on Painted Circle. The information here is designed to make clear the conditions of listing your business on Painted Circle. This information is specific for those businesses listing on Painted Circle or signing up, and is in addition to our general Terms of Service.

Painted Circle is a registered brand of Creatures of the Forest, LLC. Throughout this information we may refer to Painted Circle and paintedcircle.com as “we,” “our,” and “the/our platform.” We may also refer to your business as “you” and “your.” By signing up as a business with Painted Circle you are agreeing to these terms. If you do not agree to the terms of this agreement, you are not authorized to list your business on Painted Circle.

SCOPE OF LISTING YOUR BUSINESS

Painted Circle is an online platform that allows you to list your business to be found by our site members and visitors. Listing your business with us does not constitute or create a partnership or joint venture between us. Furthermore, listing your business does not create any form of employment or right to benefits from Painted Circle.

Painted Circle does not charge fees for your participation, nor do we make sales on your behalf. Painted Circle is a place where potential guests can find your business and services, and then be directed to book directly with you. You remain the seller of record for your products and services. We do not guarantee sales or increase in business for your organization. Any information, tips, suggestions, best practices, or other guidance you may find on our website or through correspondence with Painted Circle is intended for informational purposes, and Painted Circle can not be held responsible for any adverse effects resulting from business decisions you may make after receiving information from us.

YOUR BUSINESS LISTING

By signing up for a business account, and by listing your business with us, you certify that you are an authorized agent for your business or organization and have authority to enter into this agreement.

It is your responsibility to enter accurate information into your sign up form, and to keep your information and your company information updated and accurate. You can make updates to your listing by logging in to Painted Circle and finding your listing on your profile page. Painted Circle does not update your listings for you, and can not be held responsible for any consequences of potential guests finding outdated or inaccurate information on your listing.

By filling out our signup form and listing your business, you are certifying that the data you are entering, including texts, images, or other files associated with your account or your listing, are yours and that you are authorized to post those materials and images on Painted Circle. You agree that in the case of copyright issues for your uploaded or submitted content and listing materials that Painted Circle can not be held responsible for the materials on your listing.

For those creating listings with the assistance of Painted Circle with or without Painted Circle Project Management, you agree that any images or other materials posted as part of your listing are owned by you, and you are authorized to use those materials and images as well as grant Painted Circle the right to use those images within the scope of this agreement. In the case that Painted Circle sources images or other materials on your behalf to create your listing, you agree that you will review those materials and inform Painted Circle immediately if images or other materials we have source for you are not owned by you, or that you can not grant Painted Circle the right to use those images or materials within the scope of this agreement.

THE OFFERS YOUR BUSINESS SUPPLIES

Painted Circle is creating a different way for travelers and guests to connect with businesses and suppliers. Rather than pay a commission to be listed on Painted Circle, you supply an offer that will be made available to our site members who upgrade to RADIUS. The following information explains how this process works and the requirements you need to know.

Offer Basics

Listing your offers during signup is easy. There are two parts to each offer:

Preview: A “preview” headline is a general statement of the kind of offer you are including. This preview must not include any redemption instructions as it is visible to the public.
Details: Offer details are a full set of instructions you provide on how guests can redeem your offer. Offer details are only visible to RADIUS customers and should include everything the guest needs to make a booking with the corresponding offer. You may include links, phone numbers, coupon codes, or other instructions.

Offer Timing

You may update your offer or offers at any time through your profile. Any existing bookings made with offers you are replacing must still be honored.

Entering Offers For The First Time

When creating your business listing you will enter your special offer along with its estimated value and redemption instructions. Entering this information is part of the onboarding process.

Ongoing Maintenance Of Your Offers

We want working with Painted Circle to be easy. Once your offer is entered it will continue to appear for Painted Circle RADIUS members until modified. Remember, it is your responsibility to maintain any coupon codes or links associated with the functioning of your offer. If you decide to update or change your offer, you may do so by logging in to your profile and making your desired changes. Remember that some guests may have already booked with the offer you are replacing, and you must continue to honor those existing bookings.

Honoring Offers

Once you have entered your offers we expect you to be able to honor those offers for guests attempting to redeem them.

Redemption Of Offers

You must list all redemption instructions in the offer details section. Please include any links and coupon codes needed for guests to redeem offers and make bookings. You may opt to require the guest show their valid RADIUS offer upon delivery of your services. This can best be verified by the customer accessing your listing on paintedcircle.com from their own device, and clicking “Open RADIUS offer” on your listing page. If the customer’s RADIUS upgrade is still active, the page with your offers will load with an animated header. If you are requiring guests to show this page when receiving services, you must provide a secure internet connection so they may access this page.

RESPONSIBILITIES

Your Listing

As a business listing on Painted Circle, you are required to keep your business listing updated. Painted Circle does not update profiles and we can not be held responsible for any issues arising from inaccurate or outdated information on your listing. You can update your general listing at any time by logging in to paintedcircle.com and accessing your listing from your profile page.

Your Business

You must notify Painted Circle of any issues that will affect the delivery of your offers, such as business closure or sale.

Customer Data

Painted Circle will never send you or your organization customer details or data. We take data privacy seriously, and all reporting that may be made available to your business or organization will be made without any disclosure of specific transaction details or customer details that may have been used to process transactions on paintedcircle.com. Furthermore, Painted Circle does not require any disclosure from you or your organization about any of your members, and we prohibit you from sending us any of your customer data or details. If either party receives or gains access to customer/member data we agree to disclose that access to the other party and immediately and permanently delete any corresponding data.

REFERRAL PROGRAM

About the referral program

The Painted Circle referral program is a way for the businesses, network partners, and nonprofits who are connected with the platform to earn money from any Radius membership sales that are made. Because the majority of Painted Circle’s members learn about the platform from our partners, the referral program is how we can connect those partners to a share of revenue and keep strengthening our community.

How it works

Partners on Painted Circle (businesses, networks, and nonprofits) each receive a unique promo code (coupon code) that they can share with their guests and/or through their marketing and outreach channels. Whenever a traveler uses this coupon code a portion of the sale is shared with the partner.

Who can participate

Any business, network, or nonprofit with an active listing on Painted Circle can participate. There is no obligation to participate. However, because Painted Circle is reaching our community’s target audience through word of mouth, we encourage all partners to value their participation in the referral program as a way of supporting our entire community.

Special note for partners located outside of the US: there may be limitations for how you can receive international transfers coming from the US. Painted Circle must comply with these restrictions. Additionally, we use WISE to process bank transfers. You can lookup your location here to see if there are limitations that may affect your ability to receive payments from Painted Circle.

If you can’t accept payment

We want every partner who wishes to access our referral program to participate, but we recognize that not all partners in all areas are eligible to receive funds. We do have other options, such as deferring your earnings to other partners, or allocating your earnings to a nonprofit partner. If you are ineligible to accept payments please contact us at info@paintedcircle.com to figure out a good option for putting your earnings to use.

How earnings are calculated

Earnings are calculated based on the final purchase amount for a Radius membership, not including taxes or VAT.

Example: The retail price of a Radius Nonstop membership is $75. The promo codes used for the referral program will give the traveler a 10% discount, resulting in a reduced cost of $67.50. While the total purchase amount may be higher due to local taxes, the purchase amount is $67.50.

Earning rates

All Painted Circle partners have a base rate in the referral program of 15%. This means that any usage of your code will earn you 15% of the purchase price. From our example, if the final purchase value is $67.50, the resulting earnings for the referral partner is $10.13. There are ways to increase the earnings through partnerships, covered in the next section…

How to increase earnings through partnerships

A major goal of Painted Circle is to support an ecosystem around good travel. Our referral program is designed so that partners can circle up and increase their earnings as we collectively do a better job of reaching travelers and supporting communities.

Business Partners

Business on Painted Circle (tour companies, hotels, trip planners, etc.) are able to add two partnerships to their referral program that will each increase their earnings. Businesses can specify a “network partner” as well as a “nonprofit partner” in their referral program. By linking to a partner, Painted Circle adds an additional 2% to your base rate. For example:

Business Base rate = 15%

Addition for linking to a network: 2%

Addition for linking to a nonprofit: 2%

Total earnings from your referrals: 19%

In our example of a $67.50 sale, the earnings would now be $12.83.

Not only is this a great way for you to increase your earnings, but the network and the nonprofit you are linked to will also benefit. The network partner you specify will receive 2% of the purchase value. The nonprofit you specify will receive 10% of the purchase value (this is Painted Circle’s standard nonprofit donation amount from sales, now directed to the nonprofit of your choice).

Network Partners

In addition to your base rate as a network partner (tourism office, business consultant, vendor, etc.), you have two ways of increasing your earnings:

Partner with a nonprofit

Specify a nonprofit in your referral program and you will increase your base rate earnings by 2%. The nonprofit you specify will receive 10% of the purchase value (this is Painted Circle’s standard nonprofit donation amount from sales, now directed to the nonprofit of your choice).

Empower your network

As a network partner, the businesses on Painted Circle that are part of your network can add you in their referral program. Not only will they be able to increase their referral rates by 2%, you will also earn 2% from Radius membership purchases across your entire network. For example:

You have 10 businesses that are in Painted Circle, and they each add you as a network partner in their referral program. Not only do they each increase their referral rate by 2%, you will collect 2% of any Radius membership sales across that network of 10 businesses.

Nonprofits

In addition to your base rate for any direct promotion you do, you can also collect Painted Circle’s 10% Community Giving donation from any Radius membership sale by partners linked to you. Encourage businesses you know to join Painted Circle for free and then add your organization in their referral program. This will increase their earnings by 2%, and will direct the 10% donation from Painted Circle to your organization.

Effects on our Community Giving Strategy

All amounts calculated for our referral program as well as our Community Giving strategy are based on the final purchase price of any Radius membership purchase before any other commissions are paid. As a result, one set of earnings does not detract from the other. Buy participating with the referral program you are not decreasing the amount of money that is available to our Community Giving strategy. In fact, by helping bring travelers into the circle you are helping us increase our financial impact.

Receiving payments

Earnings are collected from sales throughout the calendar year (1 January through 31 December), and any refunded memberships are subtracted from totals. Earnings are calculated and communicated to partners by 31 January in the month directly following the end of an earnings cycle.

Minimum Payout

Any partner participating with our referral program must have a minimum of $100 to receive payout. If your total earnings are less than $100 we will roll your earrings into the next earnings cycle.

To receive payout, you will be required to supply Painted Circle with appropriate payment documents. In most cases, this will be a simple W-9 issued by the IRS. You will then receive a corresponding document (example: “IRS-1099”) along with any payment.

DISPUTES

We intend for your participation with Painted Circle to be a great value add for your organization and one that is easy and rewarding to participate with. Should disputes arise from either you or us, it is agreed that any disputes be notified to the other party immediately. We agree that both parties will exercise our best efforts to resolve any disputes quickly and amicably. Should litigation be required, as a brand of Creatures of the Forest, LLC registered in Transylvania County, NC, all litigation will be subject to and occur in the state of North Carolina. You agree that any fees associated with or resulting from any legal proceedings due to disputes you raise with us will be paid by your business.

RIGHT TO CANCEL

Both you and Painted Circle are free to cancel our relationship at any time and for any reason with at least a 30-day notice. Our goal is to be able to provide a long-term mutually-beneficial relationship with you and your organization. We encourage you to let us know if there are changes we can make in order to preserve the relationship with your business or organization. Upon ending our relationship, Painted Circle will stop displaying your business listing on our platform and will discontinue dissemination of your offer to new Painted Circle RADIUS purchasers. It is expected that any offers already redeemed through a pre-booking or reservation be honored by you.

UPDATES AND MODIFICATIONS

From time to time we may make changes to this agreement. Any changes or modifications will take immediate effect and apply to your account and your relationship with us. When we do make changes or modifications, we will notify you by email to the email associated with your business account. You agree that this email will suffice as notice of updates to this agreement.
